Is Pulley shutting down?

Yes. Pulley announced it will cease operations after December 8, 2026. Existing customers should export their cap table, documents, and valuations while they still have access.

Do I have to move from Pulley to Carta?

No. Pulley has partnered with Carta for its transition, but customers can choose another provider. Fairmint is a free alternative for keeping your cap table on open cap table standards, and an SEC-registered transfer agent when you want a professional official ownership register.

Does Fairmint charge for cap table management?

No. Other cap table vendors charge you to maintain the record of who owns what. Fairmint does not. Keep and update your cap table on Fairmint at no charge. You pay only if you decide to outsource the official register to our SEC-registered transfer agent, or if you use our SPV or fundraising services.

How do I migrate from Pulley to Fairmint?

Export your Pulley files and supporting documents and send them to Fairmint. We will help you reconstruct the cap table at no charge, including any missing information or discrepancies we find, and you can keep managing it yourself on Fairmint. If you later want Fairmint to maintain the official ownership register as your transfer agent, that is a separate, optional appointment. It is not required to complete the move.

What should I export from Pulley?

Start with your cap table export, stakeholder ledger, equity plans and grants, SAFEs and notes, transaction history, 409A reports, and every signed legal document. Keep the original files, even when the same information appears in more than one export.

Is Fairmint a Pulley alternative or another cap table tool?

You can use Fairmint as your cap table home after Pulley, without paying a cap table subscription. Fairmint is also an SEC-registered transfer agent. Some companies later appoint us to maintain the official ownership register and to support financing or liquidity. That is optional. The cap table itself is not a paid product.

Can Fairmint support a complex or token-related cap table?

That is where the conversation is most useful. Fairmint is built for companies with real ownership complexity, onchain programs, active financing, or future liquidity needs. We will tell you plainly during the review whether the fit is right.

How long does a Pulley migration take?

Timing depends on the completeness of your records, the securities involved, and any discrepancies that need resolution. Starting with your export lets us identify the scope and tell you what is needed to complete the move.

What does it cost to move from Pulley to Fairmint?

Migration is free, and Fairmint does not charge for cap table management. Unlike other cap table software vendors, there is no subscription to keep your ownership records on Fairmint. We make money when you choose to go further: appoint Fairmint as your professional transfer agent, form an SPV, or use our fundraising services. In short, we make money when you make money. You can move your Pulley files, run the cap table yourself, and only pay if you later want those services. We will explain the applicable work, pricing, and terms for any of them before you commit.

Do I need every document before I start?

No. Start with the records you have and preserve the original files. During review, we will identify what is missing and what supporting documents are needed to establish the ownership history.

Can my counsel be involved?

Yes. Your counsel can participate in the review and help resolve questions about ownership records, approvals, or the transfer agent appointment.

What happens to my existing 409A valuation?

Download and retain the valuation report and supporting materials. Moving your ownership records does not itself replace or renew a valuation. Discuss upcoming valuation needs with your advisers and our team.
