Fairmint

For corporate secretaries, CFOs and investor relations

Stop reconciling your shareholder register.

Every corporate action starts with matching your transfer agent’s file against your own records. Move your register to Fairmint. We keep it as your SEC-registered transfer agent, and your brokers, custodians and counsel all read the same record.

Tokenization and the register

A token on top of your register is a second book to keep.

Most onchain share programs issue a token that mirrors a register a legacy agent still keeps. The legal record stays offchain, and someone has to reconcile the two after every issuance, transfer or cancellation. Fairmint keeps the register itself on the ledger, so the onchain entry and the legal record are the same thing.

Where do you want to start?

Move the register once. Then stop reconciling it.

Issuers often carry three versions of the holder list: the agent’s file, the stock plan system and a board spreadsheet. We take over as transfer agent and migrate your register from your current agent. From then on, every issuance, transfer and cancellation is recorded against one entry.

  • Migration from your current transfer agent
  • Issuances, transfers and cancellations on one record
  • Board and stock plan reporting drawn from that record

Illustrative

Your brokers and custodians read the register directly.

Today each counterparty keeps its own view of your holders and waits for files from your agent. With Fairmint, authorized institutions read positions and transfer restrictions from the register itself, through the Open Cap Table Protocol, an open standard built on the industry’s cap table schema.

  • Access granted per institution, and revocable
  • An open schema instead of a proprietary export
  • The issuer keeps ownership of the record

Run the tender on the same record it settles to.

A tender, buyback or secondary window depends on an accurate list of eligible holders on the day it opens. We check eligibility and transfer restrictions against the register, record each transfer as it settles, and close the window with the register already updated.

  • Eligibility and restrictions checked at the source
  • Transfers recorded as they settle
  • Counsel reviews the final register, not a reconciliation

Have the register ready before a listing timeline starts.

A listing, a growing holder base or new reporting obligations put the register in front of auditors, counsel and regulators. If an SEC-registered transfer agent has kept it from the start, the record they review is the one you have been running on all along.

  • Holder of record and class counts on demand
  • A complete transfer history
  • No migration in the middle of a transaction

Further reading

The Open Cap Table ProtocolWhy the register is the control pointAbout Fairmint
Is the onchain register the legal record of ownership?

Yes. Fairmint TA is the transfer agent of record, and the register it keeps on the ledger is the official record. There is no separate offchain book behind it.

Who regulates Fairmint as a transfer agent?

Transfer agency services are provided by Fairmint TA, a subsidiary of Fairmint Inc. registered with the SEC as a transfer agent.

Do our brokers and custodians need to change their systems?

They connect once through the Open Cap Table Protocol and read positions under permission. Your existing broker and custodian relationships stay in place.

Which ledger does Fairmint use?

The Canton Network, which was built for regulated financial institutions and handles privacy and permissioning at the protocol level.
